These Terms of Service (“Terms”) govern your use of the Gradualli website and the digital marketing services we provide. By engaging our services or using our website, you agree to be bound by these Terms. Please read them carefully.
1. About Gradualli
Gradualli is a UK-based growth agency specialising in local search visibility, digital marketing, and online reputation management for local businesses. Our services include SEO, paid advertising, website design and hosting, conversion optimisation, review management, and AI visibility strategies.
2. Services
The specific services we provide to you will be outlined in a proposal or service agreement. We will use reasonable skill and care in delivering our services. All timelines and projections are estimates and not guarantees of specific outcomes, as search engine rankings and digital marketing results depend on many factors outside our control.
We reserve the right to update or modify our service offerings at any time. Any material changes to your active services will be communicated in advance.
3. Strategy Sessions & Onboarding
We offer an introductory strategy session priced at £42. If you choose to proceed with our ongoing services, the £42 fee will be credited toward your first month’s invoice. Strategy sessions are non-refundable once the session has taken place.
4. Payment Terms
Payment terms are as follows:
- All fees are quoted in British Pounds Sterling (£) and are exclusive of VAT unless otherwise stated.
- Invoices are issued monthly in advance and are due within 14 days of the invoice date.
- We accept payment by bank transfer and major credit/debit cards.
- Late payments may incur interest at 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- We reserve the right to suspend services if payment is overdue by more than 30 days.
5. Intellectual Property
All content, designs, strategies, and materials created by Gradualli during the course of our engagement remain our intellectual property until full payment has been received. Upon full payment:
- Website designs and content created specifically for you are assigned to you.
- Our proprietary tools, methodologies, templates, and frameworks remain the property of Gradualli.
- You grant us permission to use anonymised case studies and results for our marketing purposes, unless you notify us otherwise in writing.
You retain ownership of all materials, content, and brand assets you provide to us for the purpose of delivering our services.
6. Your Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide timely access to accounts, platforms, and information we reasonably require.
- Review and approve content, designs, and campaigns within agreed timeframes.
- Ensure that all information and materials you provide are accurate and do not infringe on any third-party rights.
- Notify us promptly of any changes to your business that may affect our services.
7. Limitation of Liability
To the maximum extent permitted by law:
- Gradualli shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
- We are not liable for any actions taken by third-party platforms (such as Google, Meta, or other advertising networks) that affect your campaigns or visibility.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our engagement. This obligation survives the termination of these Terms.
9. Termination
Either party may terminate the service agreement by providing 30 days’ written notice. Upon termination:
- All outstanding fees for work completed up to the termination date remain payable.
- We will provide reasonable assistance in transitioning your accounts and assets.
- Any pre-paid fees for services not yet delivered will be refunded on a pro-rata basis.
- Access to any Gradualli-hosted platforms or tools will be discontinued at the end of the notice period.
We reserve the right to terminate immediately if you breach these Terms, fail to make payment, or engage in conduct that is unlawful or harmful to our reputation.
10. Force Majeure
Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, internet outages, or changes in law.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
